Welcome to AgentTutor — a tool for teaching AI agents to use computers. These Terms of Service (the “Terms”) explain what you can expect from us at Kentauros AI Inc. (“Kentauros AI,” “we,” “us,” or “our”) and what we expect from you. By accessing or using AgentTutor (the “Service”), you agree to these Terms. If you don’t agree, please do not use the Service.

‍1. Who We Are

AgentTutor is operated by Kentauros AI Inc., a Delaware corporation. Our principal place of business is Corporation Service Company, 251 Little Falls Drive, Wilmington, Delaware 19808. All references to “Kentauros AI,” “we,” “us,” or “our” mean Kentauros AI Inc.

2. Eligibility & Account Registration

‍2.1 Who Can Use AgentTutor
‍
AgentTutor is primarily built for companies, developers, and hobbyists interested in AI training. The Service is not intended for individuals under the age of 13, and by using AgentTutor, you represent that you are at least 13 years old (or the age of majority in your jurisdiction if older).

2.2 Account Creation
‍
To use AgentTutor, you must create an account by providing a valid email address and password or by signing in with a supported third-party identity provider (e.g., Google). You are responsible for keeping your login credentials confidential and for all activities that occur under your account.

2.3 Accuracy of Information
‍
You agree to provide accurate, current, and complete information when creating your account and to update such information as necessary.

3. User Data & Content

‍3.1 Definition of “User Data”
‍
When you use AgentTutor, you generate or upload data—including annotated human and agent trajectories and other materials—(collectively, “User Data” or “User Content”). You remain the owner of any intellectual property rights in that content.

‍3.2 Our Use of User Content
‍
We may use User Content to provide, maintain, develop, and improve our Services, comply with applicable law, enforce our terms and policies, and keep our Services safe. We may also include your User Content (in whole or part) in open datasets.

3.3 Your Rights
‍
You retain ownership of your User Data. You may export or delete it at any time, subject to any technical limitations. If you choose to delete your User Data, we will take reasonable steps to remove it from our systems; however, please note that residual copies or backups may persist for a limited time and may be retained for legal or compliance purposes.

3.4 Sensitive Data and “Secrets”

From time to time, you may provide us with passwords, access tokens, API keys, or other sensitive credentials (“Secrets”) to allow your agents to operate on third-party services. We will store and use these Secrets solely to support the functioning of your agents. We will not use Secrets for any other purpose.

4. Acceptable Use

‍4.1 Prohibited Activities

You agree not to use AgentTutor in any way that:Violates any applicable law or regulation (including export control laws);Infringes the intellectual property rights or other rights of any person or entity;Uploads or generates adult content, sexual content involving minors, or other unlawful or highly offensive material;Attempts to hack, decompile, reverse-engineer, or disrupt the Service;Uses our servers, virtual machines, or agents to engage in any malicious activity (e.g., DDoS attacks, spam, hacking, or crypto mining) or to interfere with the integrity or security of the Service or any third-party systems.

4.2 Suspension or Termination

We reserve the right to suspend or terminate your account (with or without notice) if, in our sole discretion, we believe you have violated these Terms or engaged in any behavior that might harm our users, the Service, or third parties.

‍5. Pricing & Payment

‍5.1 Free Beta Access
‍
AgentTutor is currently provided free of charge in closed beta. We reserve the right to introduce paid plans or features in the future.

5.2 Future Paid Plans
‍
If and when paid subscriptions or usage-based fees are introduced, billing will be handled via our third-party payment processor(s). We will provide you with prior notice of any changes to our pricing, and you will have the choice to continue or discontinue use of the Service. Refunds will be addressed on a case-by-case basis.

6. Future Features & Sharing

‍6.1 Sharing Workflows, Agents, or Datasets

In future versions of AgentTutor, you may be able to share workflows, agent configurations, or datasets with others. If you choose to share content:You retain ownership of the content you create.You grant us a license to display, use, and promote your shared content within the Service, as well as in marketing materials, documentation, or demos, subject to applicable privacy settings you select.

6.2 Updates to These Features

If and when these collaborative sharing features are rolled out, we may update these Terms to account for changes in the way content is shared, licensed, or displayed. We will notify you of any such material updates.

‍7. Communications

‍7.1 Account-Related Messages
‍
We will send you emails related to your account (such as password resets, usage alerts, or service updates). These are considered essential communications, and you cannot opt out of them.

7.2 Marketing & Newsletters

You may also receive promotional or marketing communications from us. You can opt out of these at any time by following the unsubscribe instructions included in each email.

8. Data Privacy & Compliance

‍8.1 Privacy Policy

Your use of AgentTutor is also governed by our Privacy Policy, which explains how we collect, use, and share your personal information. By using AgentTutor, you agree to our collection and use of your information as outlined in the Privacy Policy.

8.2 GDPR Compliance for EU Users

If you are located in the European Union (EU) or the European Economic Area (EEA), we process your personal data in compliance with the General Data Protection Regulation (“GDPR”). 8.3 Data Transfers

You acknowledge that data (including personal data) may be processed and stored in the United States. By using the Service, you consent to the transfer of your data to the United States and possibly other jurisdictions where we or our service providers operate, as described in our Privacy Policy.

‍9. Ownership & Intellectual Property

‍9.1 Kentauros AI IP
‍
AgentTutor, including its software, design, logos, trademarks, and other related content (collectively, the “Kentauros AI IP”), is owned or licensed by Kentauros AI. Except for the limited license granted to you under these Terms to access and use AgentTutor, no license or ownership interest in any Kentauros AI IP is transferred to you.

9.2 Feedback
‍
Any feedback, suggestions, or ideas you provide about AgentTutor (“Feedback”) is entirely voluntary, and we are free to use such Feedback without obligation or compensation to you.

10. Changes to the Service

‍We are constantly improving AgentTutor, which means features might change, evolve, or sometimes break. We do not guarantee uninterrupted operation or that the Service will be error-free. We may discontinue certain features at any time without liability to you.

‍11. Disclaimer of Warranties

‍TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AGENTTUTOR IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. KENTAUROS AI EXPRESSLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR COMPLETE.

‍12. Limitation of Liability

‍12.1 Indirect Damages

TO THE EXTENT PERMITTED BY LAW, KENTAUROS AI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING (BUT NOT LIMITED TO) LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 Cap on Liability

TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF KENTAUROS AI FOR ANY CLAIMS RELATING TO OR ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR ACCESS TO THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

12.3 Basis of the Bargain

YOU AGREE THAT THE DISCLAIMERS AND LIMITATIONS OF LIABILITY IN THESE TERMS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND KENTAUROS AI AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US.

‍13. Indemnification

‍You agree to indemnify, defend, and hold harmless Kentauros AI, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your infringement of any third-party rights, including but not limited to intellectual property or privacy rights.

14. Governing Law & Dispute Resolution

‍14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles.

14.2 Dispute Resolution
‍
If a dispute arises between you and Kentauros AI related to these Terms or the Service, we encourage you to contact us first to seek an informal resolution. If we are unable to resolve the dispute informally, any claims or disputes will be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to personal jurisdiction in those courts.

14.3 Injunctive Relief

Nothing in these Terms prevents us from seeking injunctive relief or any other equitable remedies in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property or contractual rights.

‍15. Changes to These Terms

‍We may update these Terms from time to time. If we make material changes, we will provide you with notice (e.g., by email or by posting a notice on the Service). Your continued use of AgentTutor after such changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the new Terms, you must stop using the Service.

‍16. Termination

‍16.1 Termination by You
‍
You may stop using AgentTutor at any time. If you wish to delete your account, please follow the instructions within the Service or contact us at support@kentauros.ai.

16.2 Termination by Kentauros AI
‍
We may suspend or terminate your access to the Service at any time and for any reason, including if we believe you have violated these Terms, at our sole discretion.

16.3 Survival
‍
Upon termination, Sections 3 (User Data & Content), 9 (Ownership & Intellectual Property), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law & Dispute Resolution) will survive and remain in effect.

‍17. Miscellaneous

‍17.1 Entire Agreement
‍
These Terms, together with our Privacy Policy and any other legal notices published by Kentauros AI, constitute the entire agreement between you and Kentauros AI concerning AgentTutor and supersede any prior agreements.

17.2 Severability
‍
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

17.3 No Waiver
‍
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Kentauros AI’s failure to assert any right under these Terms shall not constitute a waiver.

17.4 Assignment
‍
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign or transfer these Terms without restriction.
